Lynq Terms Of Service

These Terms of Service govern access to and use of Lynq, a service operated by Aron Y Rakoszynski, including the Lynq portal, Outlook add-in, APIs, documentation, and related services.
1. Parties
These Terms are between Aron Y Rakoszynski, operating the Lynq service ("Lynq," "we," "us," or "our"), and the company or organization that subscribes to or uses Lynq ("Customer," "you," or "your").
If you use Lynq on behalf of a company, you represent that you are authorized to bind that company and its users to these Terms.
2. The Service
Lynq is a business software platform for managing commercial real estate risk records, including properties, policies, claims, lawsuits, documents, emails, tasks, messages, calendar items, acquisitions, proposals, reports, and related workflows.
Features may include Microsoft 365 login, Outlook email import, Outlook conversation sync, email sending, Outlook calendar sync, document storage, audit history, backups, and tenant-specific company settings.
3. Authorized Users
Customer is responsible for:
- Deciding who may access its Lynq tenant.
- Assigning appropriate Microsoft and Lynq roles.
- Removing access for users who leave or no longer require access.
- Ensuring users comply with these Terms and company policies.
Each user must use their own account. Shared login credentials are not allowed unless Lynq expressly approves them in writing.
4. Customer Data
Customer owns the business data it submits to Lynq.
Customer grants Lynq the limited right to host, process, transmit, display, back up, restore, and otherwise use Customer Data as needed to provide, secure, support, and improve the service.
Customer is responsible for the accuracy, legality, and appropriateness of the data it uploads, imports, stores, or sends through Lynq.
5. Acceptable Use
Customer and users may not:
- Use Lynq for unlawful, harmful, abusive, deceptive, or unauthorized purposes.
- Attempt to bypass tenant isolation, authentication, authorization, or security controls.
- Access, copy, alter, or delete data belonging to another company without authorization.
- Upload malware, harmful code, or content that violates third-party rights.
- Interfere with the service, infrastructure, or other customers.
- Use Lynq to send spam, phishing, harassment, or unlawful communications.
- Reverse engineer the service except where legally permitted.
6. Microsoft 365 And Third-Party Services
Some Lynq features depend on Microsoft 365, Microsoft Graph, Azure, Salesforce, email systems, storage systems, or other third-party services.
Customer is responsible for:
- Maintaining required third-party accounts, licenses, consents, permissions, and configurations.
- Complying with third-party terms.
- Understanding that outages, limits, permission changes, or policy restrictions in third-party services may affect Lynq features.
Lynq is not responsible for third-party services outside our control.
7. SMS Deadline Reminders
Aron Y Rakoszynski may offer optional SMS deadline reminder text messages through Lynq. If a user enables weekly deadline texts in their profile, they agree to receive SMS deadline reminders from Aron Y Rakoszynski through Lynq for the categories they select.
Message frequency is up to 1 message per week. Message and data rates may apply. Reply STOP to cancel SMS messages or HELP for help. Users may also disable weekly deadline texts in their Lynq profile.
SMS deadline reminders are convenience summaries only. Users should open Lynq to review the full record, task, file, calendar item, or deadline.
8. Security Responsibilities
Lynq will use reasonable safeguards designed to protect the service and Customer Data.
Customer is responsible for:
- Managing Microsoft account security.
- Using strong authentication where available.
- Assigning least-privilege roles.
- Promptly removing users who should no longer have access.
- Not sharing secrets, access tokens, or credentials.
- Reviewing audit history and reporting suspected unauthorized access.
9. Backups And Recovery
Lynq maintains backup and recovery procedures for production systems. Backups are intended for disaster recovery, operational recovery, and data-loss investigation.
Backups are not a substitute for Customer review of important changes, exports, or administrative controls. Restore operations may require investigation, temporary restore environments, selective data recovery, and coordination with Customer.
10. Support And Maintenance
Lynq may perform maintenance, upgrades, security updates, migrations, and other operational changes. We will use reasonable efforts to limit disruption where practical.
Support terms, service levels, and response times may be described in a separate order form, subscription agreement, or support policy.
11. Fees And Payment
Fees, billing terms, taxes, renewals, and cancellation terms should be described in a separate order form, invoice, subscription agreement, or written arrangement.
Customer is responsible for timely payment of agreed fees.
12. Confidentiality
Each party may receive non-public information from the other party. The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to the service or the business relationship.
Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.
13. Intellectual Property
Lynq and its software, workflows, documentation, designs, interfaces, and technology are owned by Lynq or its licensors.
Customer receives a limited, non-exclusive, non-transferable right to use Lynq during the subscription term according to these Terms and any applicable order form.
No ownership rights in Lynq software or technology are transferred to Customer.
14. Disclaimers
Lynq is provided as a business workflow and record-management tool. It does not provide legal, insurance, financial, accounting, or professional advice.
Customer remains responsible for professional judgment, insurance decisions, legal deadlines, claim handling, regulatory compliance, and business outcomes.
Except as expressly stated in a written agreement, Lynq is provided "as is" and "as available" to the maximum extent allowed by law.
15. Limitation Of Liability
To the maximum extent allowed by law, Lynq will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost business, lost goodwill, or loss of data.
Any liability cap, exclusions, or exceptions should be finalized in the customer agreement or order form.
16. Suspension And Termination
Lynq may suspend or restrict access if:
- Customer fails to pay required fees.
- A user violates these Terms.
- Use of the service creates a security, legal, or operational risk.
- Suspension is required by law or by a third-party platform provider.
Upon termination, Customer may request export or deletion of Customer Data according to the Data Retention Policy and any applicable agreement.
17. Changes To The Terms
We may update these Terms from time to time. Material changes will be communicated by posting an updated version or by another reasonable method. Continued use of Lynq after changes take effect means the updated Terms apply.
18. Governing Law
These Terms are governed by the laws of [Insert Governing Law Jurisdiction], without regard to conflict-of-law rules.
Venue and dispute resolution should be finalized in the customer agreement.
